Legacy Plaza Vendor Agreement

One page. Plain language. Required for every vendor — including free Charter Founders. By submitting your storefront you accept all sections below.

1. What Legacy Plaza is (and isn't)

Legacy Plaza is a directory and gateway that lists and links out to independent businesses. We do not process sales, hold inventory, fulfill orders, handle payments, ship products, or mediate refunds. Every "Visit Website" button sends the shopper to a website you control. The transaction, customer relationship, product quality, taxes, and post-sale support are entirely between you and the shopper.

2. FBA / Black-owned self-attestation

You self-attest that your business is Black-owned and, where you've checked the FBA box, Foundational Black American (FBA) led. Legacy Plaza does not independently verify ownership or lineage. Knowingly false attestation is grounds for immediate removal and forfeiture of any Charter Founder number, free runway, and promo code.

3. Outbound-link liability disclaimer

Because Legacy Plaza is a directory, we are not the seller, merchant of record, or party to any sale that happens after a shopper clicks through to your site. Legacy Plaza disclaims liability for product defects, shipping issues, refunds, chargebacks, customer disputes, data collection on your site, and any third-party content reachable from your outbound URL. You agree to defend and hold Legacy Plaza harmless from claims arising out of your products, services, website, or business conduct.

4. Prohibited conduct

  • Misrepresenting ownership, lineage, location, or product origin.
  • Redirecting Plaza traffic to unrelated, deceptive, adult, or harmful destinations.
  • Listing unlawful goods or services, or anything that violates U.S. or state law.
  • Hate speech, harassment, or targeting protected groups.
  • Scraping the directory, spamming other vendors, or abusing the referral system.
  • Impersonating another business, brand, or person.
  • Reselling, transferring, or sublicensing your Charter Founder number or promo code.

5. Removal & reserved rights

Legacy Plaza reserves the right to suspend or remove any vendor at any time, with or without notice, for misrepresentation, violation of this agreement, verified community reports, or conduct that harms the Plaza or its shoppers. We may also remove content, revoke Charter Founder status, and disable promo codes. You may request removal of your own listing at any time by contacting support.

6. Content rights

You confirm you own (or are licensed to use) the business name, logo, tagline, photos, and copy you upload. You grant Legacy Plaza a non-exclusive, royalty-free license to display that content inside the directory, in the Spotlight carousel, and in marketing of the Plaza itself. This license ends when your listing is removed.

7. Charter Founder terms

Charter Founder numbering and the 6-month free runway window apply to all 100 Charter Founders. Numbering, runway, and promo codes are issued at activation, are non-transferable, and may be revoked under §5. After your free window ends, continued listing requires the standard paid subscription.

8. Changes

This is the Phase 1 plain-language agreement. We may update it; material changes will be surfaced in the vendor portal, and continued use after notice constitutes acceptance.

By checking "I agree to the Legacy Plaza Vendor Terms" on the onboarding screen, you accept this agreement in full, including for any free Charter Founder runway.
